IMPORTANT NOTICE

YooSell.co.uk (“YooSell”, “we”, “us”, “our”) is a digital property advertising and self-service property marketing platform.

YooSell is not a traditional estate agency and does not provide accompanied viewings, offer negotiation, sales progression, conveyancing services, mortgage advice, legal advice, surveying services, or property valuations unless expressly stated otherwise.

YooSell provides advertising, marketing and communication tools only. Sellers and buyers remain solely responsible for all decisions, negotiations, legal obligations and transactions relating to any property.

By using YooSell.co.uk, you agree to these Terms & Conditions.

If you do not agree, you must not use the Platform.

1. DEFINITIONS

In these Terms:

“Platform” means the YooSell website, mobile applications, software, systems and related services.

“User”, “you” or “your” means any person or organisation using the Platform.

“Seller” means a person advertising or marketing a property for sale through YooSell.

“Buyer” means any person browsing, enquiring about or seeking to purchase a property.

“Listing” means any property advertisement, images, description, video, floorplan or other content uploaded to the Platform.

“Subscription” means any paid membership, package or recurring service purchased through YooSell.

“Portal Partner” means any third-party property portal or advertising platform used by YooSell, including but not limited to Rightmove.

“Content” means all text, images, data, videos, floorplans, logos, descriptions and materials uploaded or displayed on the Platform.

“Material Information” means information which a consumer needs in order to make an informed transactional decision regarding a property.

2. ACCEPTANCE OF TERMS

2.1 By accessing or using the Platform, you confirm that:

• you are at least 18 years old;

• you have legal capacity to enter into binding agreements; and

• you agree to comply with these Terms.

2.2 If you use the Platform on behalf of a company or organisation, you confirm that you have authority to bind that organisation to these Terms.

2.3 These Terms apply together with:

• our Privacy Policy;

• Cookie Policy;

• Seller Listing Agreement (where applicable);

• promotional terms and conditions; and

• any additional service-specific terms.

3. NATURE OF THE PLATFORM

3.1 YooSell provides a self-service digital property advertising and communication platform.

3.2 YooSell does not:

• conduct property viewings;

• negotiate offers;

• verify buyers;

• provide sales progression services;

• provide legal or financial advice;

• provide mortgage advice;

• provide surveying services;

• provide guaranteed property valuations; or

• guarantee the sale of any property.

3.3 YooSell acts solely as a platform provider and marketing service.

3.4 Users remain solely responsible for:

• all property transactions;

• negotiations;

• legal compliance;

• due diligence;

• conveyancing;

• financial decisions; and

• verification of information.

3.5 Nothing in these Terms creates:

• a fiduciary relationship;

• partnership;

• joint venture; or

• traditional estate agency relationship between YooSell and any User.

4. USER ACCOUNTS

4.1 Users may be required to create an account to access certain services.

4.2 Users must ensure all account information is:

• accurate;

• complete; and

• kept up to date.

4.3 Users are responsible for maintaining the confidentiality of login credentials.

4.4 Users must not:

• share accounts;

• impersonate another person;

• create fraudulent accounts; or

• use false identities.

4.5 YooSell reserves the right to suspend or terminate accounts where:

• inaccurate information is provided;

• misuse is suspected;

• these Terms are breached; or

• fraudulent activity is suspected.

5. SELLER RESPONSIBILITIES

5.1 Sellers warrant and confirm that:

• they are the legal owner of the property or have lawful authority to market it;

• all information provided is accurate and not misleading;

• all Material Information has been disclosed;

• uploaded content does not infringe third-party rights;

• the property complies with applicable laws and regulations; and

• all required certificates and documents are valid.

5.2 Sellers are solely responsible for:

• conducting viewings;

• negotiating offers;

• appointing solicitors;

• progressing transactions;

• complying with legal obligations; and

• ensuring listing accuracy.

5.3 Sellers must promptly update Listings when:

• a property is sold;

• under offer;

• withdrawn;

• no longer available; or

• information changes.

5.4 Sellers must not upload:

• misleading information;

• false pricing;

• offensive material;

• unlawful content;

• discriminatory content; or

• content infringing third-party rights.

6. BUYER RESPONSIBILITIES

6.1 Buyers must independently verify all property information.

6.2 YooSell does not guarantee:

• ownership;

• measurements;

• planning status;

• condition;

• pricing accuracy;

• title;

• availability; or

• legal compliance of properties.

6.3 Buyers are responsible for obtaining independent professional advice before proceeding with any transaction.

7. LISTINGS & CONTENT

7.1 Sellers grant YooSell a worldwide, non-exclusive, royalty-free licence to:

• use;

• reproduce;

• edit;

• publish;

• distribute;

• display; and

• market uploaded Content for operation and promotion of the Platform.

7.2 YooSell may:

• edit listing formatting;

• amend presentation;

• crop images;

• reject listings;

• remove content;

• suspend listings; or

• request supporting evidence.

7.3 YooSell is not obliged to publish any Listing.

7.4 YooSell reserves the right to remove Listings without notice where:

• misleading information is suspected;

• legal concerns arise;

• portal rules are breached;

• payment fails; or

• complaints are received.

8. PORTAL ADVERTISING & THIRD-PARTY SERVICES

8.1 YooSell may syndicate Listings to third-party Portal Partners.

8.2 YooSell does not guarantee:

• acceptance by any Portal Partner;

• listing placement;

• enquiry levels;

• visibility;

• uninterrupted advertising; or

• continued publication.

8.3 Portal Partners may independently reject, suspend or remove Listings.

8.4 YooSell is not liable for:

• portal outages;

• portal errors;

• third-party platform decisions;

• listing removals; or

• changes to portal policies.

8.5 YooSell may display links or advertisements for third-party services including:

• solicitors;

• mortgage brokers;

• surveyors;

• removals services; or

• insurance providers.

8.6 YooSell does not endorse or accept liability for third-party services.

9. SUBSCRIPTIONS, FEES & PAYMENTS

9.1 Certain services require payment of Subscription fees.

9.2 Subscription fees are displayed on the Platform.

9.3 Unless stated otherwise:

• fees include VAT where applicable;

• fees are payable in advance; and

• subscriptions renew automatically.

9.4 By purchasing a Subscription, you authorise recurring payments until cancellation.

9.5 Users are responsible for ensuring payment details remain valid.

9.6 YooSell may:

• suspend Listings;

• suspend accounts; or

• terminate services for failed or overdue payments.

9.7 Fees are non-refundable once:

• a Listing is published;

• marketing services commence; or

• portal distribution begins,
  except where required by law.

9.8 Promotional offers may be subject to separate terms and conditions.

10. CONSUMER CANCELLATION RIGHTS

10.1 Where a User is a consumer, the Consumer Contracts Regulations 2013 may provide a 14-day cooling-off period.

10.2 By requesting immediate publication or activation of a Listing during this period, the User:

• expressly requests immediate commencement of services; and

• acknowledges that cancellation rights may be lost once digital services begin.

10.3 Once marketing services have commenced, Users may not be entitled to refunds.

11. INTELLECTUAL PROPERTY

11.1 All intellectual property rights in the Platform belong to YooSell or its licensors.

11.2 Users may not:

• copy;

• reproduce;

• distribute;

• scrape;

• reverse engineer; or

• commercially exploit Platform content without written consent.

11.3 YooSell branding, logos and designs may not be used without permission.

12. ACCEPTABLE USE

Users must not:

• use the Platform unlawfully;

• upload malicious software;

• interfere with Platform operation;

• scrape data;

• harvest information;

• send spam;

• impersonate others;

• upload misleading property information; or

• breach applicable laws.

13. ANTI-MONEY LAUNDERING & VERIFICATION

13.1 YooSell may request identity verification and supporting documentation.

13.2 YooSell may carry out:

• identity checks;

• AML checks;

• ownership checks; or

• fraud prevention checks.

13.3 YooSell may suspend or terminate services where:

• verification is unsatisfactory;

• fraud is suspected; or

• legal concerns arise.

14. LIMITATION OF LIABILITY

14.1 To the fullest extent permitted by law, YooSell excludes liability for:

• indirect losses;

• consequential losses;

• loss of profit;

• loss of opportunity;

• loss of business;

• failed sales;

• transaction delays;

• inaccurate Listings;

• user conduct;

• portal outages;

• cyber incidents; or

• service interruptions.

14.2 YooSell provides the Platform “as is” and does not guarantee:

• uninterrupted availability;

• error-free operation; or

• successful property sales.

14.3 YooSell’s total liability shall not exceed:

• the total fees paid by the User in the preceding 12 months; or

• £500,
  whichever is lower.

14.4 Nothing in these Terms excludes liability which cannot legally be excluded under English law.

15. INDEMNITY

15.1 Users agree to indemnify and hold harmless YooSell against all claims, losses, liabilities, damages and costs arising from:

• breach of these Terms;

• inaccurate property information;

• unlawful content;

• misleading listings;

• intellectual property infringement; or

• misuse of the Platform.

16. DATA PROTECTION & PRIVACY

16.1 YooSell processes personal data in accordance with:

• UK GDPR;

• the Data Protection Act 2018; and

• our Privacy Policy.

16.2 Users consent to the processing and sharing of enquiry information where necessary for Platform operation.

17. SUSPENSION & TERMINATION

17.1 YooSell may suspend or terminate access immediately where:

• these Terms are breached;

• payments fail;

• fraud is suspected;

• misleading information is uploaded; or

• legal or regulatory concerns arise.

17.2 YooSell may remove Listings at its discretion.

17.3 Termination does not affect accrued rights or liabilities.

18. CHANGES TO SERVICES & TERMS

18.1 YooSell may:

• modify services;

• change pricing;

• alter features;

• add or remove functionality; or

• update these Terms.

18.2 Updated Terms take effect upon publication on the Platform.

19. COMPLAINTS & REDRESS

19.1 Complaints should first be submitted through YooSell’s internal complaints procedure.

19.2 YooSell is a member of an approved property redress scheme where legally required.

20. FORCE MAJEURE

YooSell shall not be liable for delays or failures caused by events beyond its reasonable control, including:

• cyber attacks;

• internet outages;

• government actions;

• strikes;

• pandemics; or

• third-party system failures.

21. GOVERNING LAW

21.1 These Terms are governed by the laws of England and Wales.

21.2 The courts of England and Wales shall have exclusive jurisdiction over disputes relating to these Terms.
